These Terms of Service apply to all prepaid services and related offerings provided by ALPHA TELEVOICE LTD. (hereinafter “NubesSIM”), located at 702-1, Concorde Gate, North York, ON, M3C 3N6, Canada. Unless otherwise agreed to in writing, NubesSIM does not accept any terms that differ from these.
1. General Validity of the Terms
1.1 These Terms of Service (hereinafter “Terms”) constitute a legally binding agreement between you (the “User” or “Customer”) and NubesSIM.
1.2 Prior to registering, purchasing, downloading, or using NubesSIM services, you must read, understand, and accept these Terms in their entirety.
1.3 If you do not agree to these Terms, you are not authorized to use any services provided by NubesSIM.
2. Description of Services
2.1 Use of Services
NubesSIM provides convenient and efficient cross-border communication solutions for users worldwide. In multiple countries and regions, we offer flexible data, voice, and SMS plans for frequent international travelers and business users. Users can instantly select, purchase, and activate eSIM plans covering locations worldwide through devices that support eSIM on the NubesSIM platform. Users can register, purchase, and manage eSIMs via NubesSIM.com or the Nubes App. Payment services are supported by Apple Pay, and Stripe, ensuring secure transactions.
2.2 User Registration and Information Provision
Registered users must accept these Terms. During registration, the following information must be provided:
- Nickname
- Email address
2.3 User Responsibilities
When using NubesSIM services, users must comply with all applicable laws, regulations, and these Terms. Users must not engage in any of the following:
- Any form of abuse, illegal activity, or fraudulent behavior
- Any action that may impair or interfere with the normal operation of NubesSIM’s network
If a user violates the above, NubesSIM reserves the right to suspend or terminate the service without further notice, and during the suspension, the user shall remain responsible for all related fees.
3. Formation, Duration, and Termination of the Contract
The contract is established when a user places an order to purchase an eSIM via ,NubesSIM.com or the NubesSIM App. The contract will automatically terminate when the validity period of the purchased eSIM plan expires.If the user violates these Terms or is found engaging in fraudulent or abusive behavior, NubesSIM reserves the right to unilaterally terminate the contract and cancel the related services.
4. Fees and Payment
4.1 Payment Terms
NubesSIM supports payment methods including credit cards and Apple Pay. All transactions are settled in US dollars (USD). Payment transactions are processed and secured by platforms such as Stripe and Apple Pay
4.2 Usage Fees
Unless otherwise indicated, all fees charged by NubesSIM are inclusive of applicable taxes.
If a user has a legitimate and reasonable dispute regarding any portion of an invoice, the dispute must be submitted in writing within 5 Business days of receiving the invoice. The notice must specify the disputed amount and provide the reasons for the disagreement.
Users may not offset any claims against amounts owed to NubesSIM unless such claims have been confirmed by a final court judgment or have been expressly acknowledged in writing by NubesSIM without objection.
4.3 eSIM Delivery
The purchased eSIM will be immediately displayed on the “My eSIM” page in the user’s account, and users are expected to activate it promptly.
4.4 NubesSIM credit
Definition:
Credit refers to the virtual currency held in the wallet of registered user accounts, which can be directly used to purchase packages or services.Recharge Methods:
Users may increase their Credit balance through credit card transactions or by participating in designated activities.Rules:
Any participation in NubesSIM Credit activities (including promotional experiences and referral activities) must not undermine the fairness, integrity, or lawful operation of the program. NubesSIM reserves the right to cancel a users eligibility to participate in the program or to use NubesSIM services if abuse is detected.Non-Refundable & Non-Exchangeable:
NubesSIM Credit balances are non-refundable, cannot be exchanged for cash, and may not be used in conjunction with discount vouchers.5. Refund, Cancellation, and Modification Policy
5.1 Refund/Replacement for Service Anomalies
If, due to a technical issue on the part of NubesSIM, the eSIM cannot be activated or used normally, the user is entitled to request a refund or a replacement eSIM.Refund requests must be submitted within 30 days of the purchase date.Users agree to cooperate with NubesSIM to resolve the issue by providing device screenshots, error messages, or other relevant evidence as needed. Should the user fail or refuse to cooperate, NubesSIM shall not be liable to issue a refund.
5.2 Package Validityt
Each plan has a clearly defined validity period; once expired, any unused data, SMS, or call minutes will not be refunded or transferred.
5.3 Special Circumstances
Exclusion of Compensation:
NubesSIM is not liable for any fees arising from secondary devices, backup SIM cards, alternative suppliers, hotel telephones, or any charges that are not directly related to the NubesSIM eSIM account.Fraudulent Purchases:
In cases where there is evidence of abuse, violation of these Terms, or any fraudulent behavior, NubesSIM reserves the right to refuse any refund.Unauthorized Purchases:
If any unauthorized purchase is suspected, the user must immediately notify NubesSIM; during the investigation, NubesSIM reserves the right to suspend the affected account.Accidental Purchases:
Once the eSIM has been activated, it is deemed as used, and refunds will not be provided unless otherwise explicitly stated.Incorrect Charges:
If the user has a reasonable dispute regarding any charges, such disputes must be submitted in writing to NubesSIM within 5 Business days of the charge, along with a detailed explanation.6. Privacy Policy
NubesSIM strictly protects user data, and all user information is used solely for the performance of the contract, service provision, and product-related notifications. Users agree to receive marketing emails from NubesSIM in accordance with our Privacy Policy; if a user wishes to unsubscribe, they may notify NubesSIM in writing.
7. Disclaimer
NubesSIM shall not be liable for the following circumstances:
Data transmission interruptions caused by equipment or network failures of telecommunications operators;Service interruptions caused by force majeure events such as natural disasters, wars, or terrorist attacks;System failures caused by hacker attacks or malicious software;Connection failures due to user device malfunctions or misconfigurations;Issues caused by insufficient signal coverage (e.g., in remote areas, underground, tunnels, at sea, etc.).
8. Service Management and Fair Usage Policy
If a user engages in abuse or exhibits abnormal data consumption that adversely affects the normal usage of other users, NubesSIM reserves the right to impose usage restrictions.
Users are prohibited from renting, reselling, modifying NubesSIM services, or engaging in reverse engineering or cracking activities.
If fraudulent activities such as fake orders or scams are detected, NubesSIM reserves the right to clear the account balance, restrict, or disable the account, and pursue legal remedies.
9. Liability and Warranties
NubesSIM does not guarantee continuous network availability and shall not be liable for any direct or indirect losses arising from network unavailability. Users assume all risks arising from device compatibility issues, operational errors, and other factors; NubesSIM shall not be responsible for such risks.
10. Acceptable Use and Prohibited Activities
10.1 Compliance with Laws
You are solely responsible for complying with all applicable laws in connection with your use of NubesSIM’s services, regardless of the purpose of such use. In addition, you must adhere to the terms set forth in this Acceptable Use and Prohibited Activities clause.
10.2 Prohibited Activities
You are prohibited from using NubesSIM’s services for any activities that:
- (a) Violate any law, statute, ordinance, or regulation;
- (b) Involve activities including, but not limited to:
- - Fraud or harassment schemes, such as pyramid or Ponzi schemes, matrix programs, “get rich quick” schemes, or certain multi-level marketing programs;
- - Infringement of any copyright, trademark, right of publicity, privacy, or any other proprietary right under the laws of any jurisdiction;
- - Promotion of hate, violence, or any form of intolerance that is discriminatory, or financial exploitation of criminal activities;
- - Distribution or facilitation of certain sexually oriented materials or services;
- - Any activities identified by governmental agencies as having a high likelihood of being fraudulent or illegal;
- (c) Transfer, lease, or sell, in whole or in part, NubesSIM’s services without prior authorization from NubesSIM;
- (d) Engage in any actions that may adversely affect the interests of NubesSIM.
10.3 Consequences of Violation
If we determine, at our sole discretion, that you have engaged in any of the prohibited activities or otherwise violated this clause, we may take any of the following actions to protect NubesSIM, its customers, and third parties, without incurring any liability:
- (a) Terminate this User Agreement, limit your NubesSIM account, and/or immediately close or suspend your NubesSIM account;
- (b) Refuse to provide NubesSIM services to you now or in the future;
- (c) Limit your access to our websites, software, and systems (including any networks and servers used to provide our services) operated by us or on our behalf;
- (d) Initiate legal action against you;
- (e) Disclose your information as required by judgments or orders affecting you, including those issued by courts in Ontario, Canada or elsewhere directed to NubesSIM or its affiliates;
- (f) Cooperate with courts, government authorities, and regulatory agencies in any investigation concerning your activities;
- (g) Hold you liable for any damages incurred by NubesSIM as a result of your violation of these Terms, including (but not limited to) internal administrative costs, damage to NubesSIM’s brand and reputation, and penalties imposed upon NubesSIM;
- (h) Hold you responsible for all claims, fees, fines, penalties, and other liabilities incurred by NubesSIM, any NubesSIM customer, or any third party arising out of your breach of these Terms or your use of NubesSIM’s services.
11. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of Ontario, Canada. Any disputes arising out of or in connection with these Terms or NubesSIM services shall first be attempted to be resolved through friendly consultation; if consultation fails, the dispute shall be submitted to the Ontario, International Center For Dispute Resolution (ICDR) for arbitration.
12. Amendments and Notices
NubesSIM may revise, update, or remove portions of these Terms at its sole discretion and at any time. Any changes will be posted on the official NubesSIM website or app and will become effective as of the date of publication. By continuing to use our services after changes are posted, you agree to be bound by the updated Terms. Notifications regarding these Terms may be sent via email or announced through the website or app, and will be considered properly delivered in accordance with applicable law.
